CHARTER OF ASSOCIATION NOT RECOGNIZED

DENOMINATION - CENTER - SCOPE

ART.2 - The association has voluntary character and democratic whose activity is expression of participation, solidarity and pluralismo. It does not have some fine of lucro, therefore is excluded any form of direct and indirect division of profits or remainders of management between the associates. 
It means to value the associazionismo and the voluntary service as expression of turned social engagement to the values of the solidarity and the altruism and operates for fine solidaristici for an improvement of the quality of the life of the individual and therefore of the collectivity and in particular it has the scope to promote, to coordinate, to integrate and to diffuse the literary and artistic acquaintances.
DivinoScrivere is with of individuals that of it share the principles and that they mean to cultivate municipalities beginning from interests of cultural character the field of the literature, the art and the enologia.
DivinoScrivere operates for the armoniosità and the enrichment of the spirit, for the safeguard of the saperi, of the enologica culture, gastronomica and agricultural, of
artistic, literary patrimony, acclimatizes them.
The Association has the purpose to promote and to value the culture of the wine, the literature, the art second new synergies that put to them in relation, through all the possible channels. It therefore will be able to carry out every activity of cultural, publishing character, for propagandare the spreading of the enologica, literary, artistic culture etc

 ART.3 - The association, proposes itself of:
a) to institute connubio between the literary, artistic culture and a that enologica-gastronomica, rispolverando the pleasure, spiritual physicist and, than it derives some;
b) to promote the literature, using the wine like communication vehicle, and viceversa;
c) to favor the acquaintance of the wine, its producers, its territories;
d) to favor the acquaintance of the literature and the art in all its manifestations (painting, music, architecture, sculpture, theatre, photography, cinema etc);
e) to favor the integrated acquaintance of artistic, cultural, literary and enologico patrimony of a territory.
 For the attainment of these DivinoScrivere purposes, a tito it esemplificativo and not exaustive, it can:
a) to coordinate and to realize plans of search, catalogazione and promotion for the safeguard of the literary patrimony;
b) to promote or to support initiatives with the objective of preservare and valuing the historicocultural identity of a specific territory, which alloy a detail wine production, through cultural actions that are involved the poetry, the art and the literature (as an example, poetry competitions and thematic art to topic, distances us that they interlace wine-painting, wine-poetry, wine-cinema, wine-music etc)
c) to develop a net of relations, activity and initiatives, shows, plans to local and international level with and between the artistic and literary communities, promuovendo their creativity through presentations, debates, conventions, encounter, installations accompanied from tasting moments binding together the specificity of the wine to that of the single artistic distances;
d) to favor the acquaintance of authors and artists of a territory through initiatives that promote their image, using like vehicle the wine;
e) to promote, to organize, to manage, to participate to formative activities in several withins (from the young people to the third age, let alone university) through innovative plans and not-conventional legacies to the literature (reading of poetry, thematic poetry school, encounter us that they have the wine on the background) and to the art (installations, events, extensions that have on the background the wine, projections, teatrali shows), that they have also guideline, formation, modernization purpose;
f) to propose and to organize programs of literary and artistic culture directed all the citizens, for deepened riscoperta and/or more of the literature and our cultural roots;
To carry out any other asset connected to those institutional ones for the attainment of the social scope.

In order to catch up the scopes that are proposed, DivinoScrivere can participate to international or national level to organisms private publics or, promote circles, affiliate operating producers and of the field, to manage in first person initiatives also economic fine useful deductions to social own; it can promote and/or support publishing and advertising foundations, centers studies, initiatives, undertake all those activities that do not contrast with its associative nature. For the performance of own DivinoScrivere purposes it can receive bequests, donations and institute foundations.

ART.4 - The association joining to the ASSOCIATION ARCS, whose charitable purposes have been recognized from the Ministry of the Interior, will be able to exercise, in closely complementary way to those carried out in directed performance of the institutional scopes and carried out in the comparisons of the associates enrolled or participants, activity of:

• somministrazione of alimony and drinks,
• organization and cession tourist travels and stays,

ART.5 - The Association, in concomitanza of celebrations, recurrences or campaigns of sensitization, will be able to carry out occasional public collections of deep, also by means of offering of assets of modico value or services to the sovventori.

ART.6 - The association will be able, in via merely marginal and without some scope of lucro, to exercise nature activity trades them finalized to the attainment of the social scopes and for self-financing, observing the norm of fiscal right and the enforced laws in matter. ASSOCIATES

ART.7 - The number of the associates is limitless.
They can join to the association all those who share the purposes of the agency and are moved from solidarity spirit are they physical or legal persons.
For being admitted associate it is necessary to introduce the question to the Directive Council or a its delegate, also through the way and mail; the Council must be pronounced within 30 days; the Hush-assent is valid. Accepted the question, the council provvederà to the registration of new scio on the book the associates.
All the associates enrolled in the directory associates and rule with the payment of the quotas anniversaries have the right to participate actively to the initiatives indette and to attend the social structures, and
they full authority have of ballot particularly for the approval and the modifications of the charter and the regulations, for the nomination of the organs directives, for the approval of the consuntivi budgets and estimates, guaranteeing the democratism of the association.
The temporaneità of the participation to the associative life is excluded.
The associated associates and maggiorenni have the electorate right assets and liabilities. Every associate can express a single ballot. The ballot for delegation is admitted.

ART. 8 - the associates are held:
a) Al payment of the ticket, the quotas anniversaries and the fixed contributions democratically demands and from the Directive Council;
b) On the credit side observance of the Charter, the eventual inner regulations and the deliberations taken from the Social Organs.
The associates can be EXCLUDED for the following reasons:

• When they do not comply with the dispositions of the present charter, with the inner regulations or the deliberations of the social organs;
• When they become defaulting in the payment of the ticket and the social quotas;
• When in any way they bring material and moral damages to the circle;
• When they hold in private or in lead reprehensible public.

The exclusion is deliberated from the Directive Council after to have listened to the justifications of the person which can ask that the decision is remittance to the assembly of the Associates.


CORPORATE ASSETS - BUDGET

ART.9 - The patrimonial equipment of the Association constitutes the common bottom of the same one. Such bottom is to protection of the creditors and is constituted from the quotas and contributions of supporters and thirds party, from distributions and bequests also in money, donations of modico value and from proceeds deriving from social activities.
Until hard the Association the single ones associated cannot ask the division for the bottom

ART.10 - The social exercise goes from 01 January to 31 December of every year. The economic-financial budget or statement, is predisposed, in useful time, from the Directive Council and is approved of from the Assembly of the associates within the statutory terms. The Assembly that approves of the budget or statement deliberates on the destination of eventual the residual ones that will have to be used, in any case, in harmony with the statutory purposes of the organization that is for beneficence or in order to contribute to the overcoming of all the forms of social uneasiness.


SOCIAL ORGANS: DIRECTIVE ASSEMBLEA-CONSIGLIO AND PRESIDENT

ART.11 - The assembly of the associates is convened from the Directive Council at least once per year within centoventi days from the closing of the exercise. The assembly of the associates in ordinary form has the task of

• To approve of the budget or statement;
• To proceed to the nomination of the Directive Council;
• To approve of or to modify eventual inner regulations;
• To discuss and to decide on the program anniversary of activity subordinate to its examination from the Directive Council;

The assembly of the associates in extraordinary form has the task of:

• To deliberate on the statutory modifications;
• To deliberate the issolution of the association and the devoluzione of the eventual one

       residual patrimony.
The assemblies, or ordinary that extraordinary, must be summoned at least 20 days before the fixed date for the first convocazione by means of every form of information thought suitable from the Directive Council comprised the form via fax, via Internet, SMS, etc the convocazione must contain the agenda, the place, the date and the hour of the assembly and eventually the date, the hour and the place of the second various convocazione however from the fixed date for before.
Moreover the assembly can be also convened from the associated associates and according to of art. the 20 of the C.C. (at least from a tenth one of the social body) and when you it is necessity.
The ballot for delegation is admitted.
The free one straight of ballot must be insured.

ART.12 - The assembly regularly is constituted with the presence of half more one of the associates. In second convocazione the assembly regularly is constituted any is the number of the taken part ones and valid deliberates to absolute majority of the ballots on all the objects mails on the agenda.

ART.13 - The assembly in extraordinary form is demanded, among other things, for the modification of the Charter of the association and regularly is constituted, in first convocazione, with the half presence more one of the associates. In second convocazione the presence is necessary at least a third party of the social body. The deliberations valid if are expressed with the favorable ballot at least the three fifth of the present or represented associates. For the issolution of the association it is necessary always an extraordinary assembly and the majority indicated to art. the 19 of the charter. The free one straight of ballot must be insured.

ART.14 - The Assembly, or ordinary that extraordinary, is presided from the President or, in its absence, from the Vice president or an associate name from the same assembly. The President of the assembly nomination the Secretary.

ART.15 - The Directive Council is formed from a minimum of 3 (three) to a maximum of 15 (fifteen) chosen members between the associates. The Councilmen remain in charge for a not advanced period to three years and are always rieleggibili. The Council eventually chooses between its members the President and the Vice president and nomination a Secretary. ART.17 - The assembly can name a supervisory body with tasks also of inner justice and in order to supervise on the respect of the democratism of the structure.


ISSOLUTION OF THE ASSOCIATION

ART.18 - In case of issolution of the association, deliberated with the favorable ballot at least three quarters of the associates, the residual net worth, deducted the passivities, is destined from the assembly to fine generates them of public usefullness that is to agencies that pursue however them, felt the control organism of which to art. the 3, codicil 190, of the law 23 Decembers 1996, n. 662, and except various destination set up of the law.


FINAL DISPOSITIONS
